In short

Fundraise and due-diligence preparation is the work of making a company’s financials ready to withstand investor or lender scrutiny before the process starts. Access CFO builds the investor-grade financial model, assembles and indexes the data room, cleans the historical numbers so they reconcile, prepares the numbers-side narrative, and manages the diligence question list — so the process runs to a timetable rather than consuming the founder for three months.

Diligence is won before it starts

Most raises do not fail on valuation. They fail on friction: numbers that do not reconcile between the deck and the books, related-party transactions nobody documented, revenue recognition that cannot be explained, a cap table with a gap in it. Each one costs weeks and erodes the confidence you spent months building.

The cheapest time to fix all of that is before the first investor call, when it is housekeeping rather than a red flag. We run diligence on you first, and hand you the list.

The financial model

An investor-grade model is not a bigger version of the budget. It has to carry the historicals, the plan, and the logic connecting them, in a structure a diligence analyst can audit without calling you.

  • Three statements that actually link — P&L, balance sheet and cash flow, tying.
  • Historicals reconciled to audited or reviewed financials, with bridges where they differ.
  • Drivers and assumptions in one clearly labelled block, flexible and documented.
  • Unit economics by product, channel or cohort, depending on the business.
  • Sources and uses, dilution and returns analysis at the requested round size.
  • Covenant and debt-service coverage schedules where debt is involved.

The data room

A data room is a judgement about your company before anyone reads a single document. An indexed, complete, consistently named room signals a business that is run properly; a folder of scans named IMG_4471 signals the opposite.

We build and maintain the full structure — corporate and statutory records, financials and tax, customer and revenue evidence, contracts, people, IP, litigation and compliance — with a master index, an owner for every gap, and version control that survives a three-month process.

Managing the process

Once diligence begins, the bottleneck is usually response time. Your CFO lead owns the question list: logging each request, assigning it, tracking turnaround, and making sure two different answers never go out to the same question from two different people.

Several of our partners have run large IPOs, rights issues and M&A transactions from inside listed companies. They have sat on the other side of the table, which is a material advantage when deciding what to volunteer and what to simply answer.

Not sure this is where your problem actually is?

That is what the week-one diagnostic is for. We audit the books, the compliance position and the reporting, and hand you a written memo — yours to keep whether or not you engage us.

Is this the right module?

Thirty minutes with a partner will tell you — including if the honest answer is that you do not need it yet.

Questions we get about this.

Three to six months before you want term sheets. Cleaning historicals and closing documentation gaps takes calendar time that cannot be compressed once a process is live.

No. We are the numbers side — model, data room, diligence and negotiation support. We work alongside your banker or advisor, and we will tell you candidly when you need one.

Very. Lenders run their own diligence and care intensely about coverage ratios, security, ageing quality and covenant headroom. The preparation is similar; the emphasis shifts.

Surface them anyway, to us, early. Almost everything is explainable when volunteered with context and fatal when discovered in week eight of diligence. Part of the job is deciding how each item is best presented.

No pitch. Just a diagnostic.

Thirty minutes. We’ll tell you exactly what your finance function is missing — free, either way.

If we’re not the right fit, you’ll still leave with a prioritised list of what to fix. That’s the worst-case outcome.
